These Terms govern your use of the EzyCarto website, mobile apps and related services (the “Service”). The Service is provided by Nimbloom Ltd, a company registered in England and Wales (Company No. 12345678), registered office: 10 Innovation Way, London, UK. By creating an account or using the Service you agree to these Terms.

1. Definitions
“Customer”, “you”, or “your” means the organisation or person that registers for, accesses or uses the Service. “End Customers” are your customers whose data you process via the Service (e.g. shoppers). “We”, “us”, or “our” means Nimbloom Ltd.
2. Eligibility & Account
You must be at least 16 (or the age of majority in your location) to use the Service. You are responsible for your credentials and all activities under your account. Keep your details accurate and secure. We may contact the account email for service and legal notices.
3. Plans, Billing & Taxes
Paid plans and current pricing are shown on our Pricing page. Subscriptions are billed in advance and renew automatically until cancelled. Prices exclude applicable taxes, which you are responsible for. Invoices and payments are handled by our providers.
4. Free Trials, Upgrades & Cancellations
If offered, trials convert to paid unless you cancel before the end of the trial. You can change or cancel in-app; cancellations take effect at the end of the current billing period. Except where required by law, fees are non-refundable.
5. Acceptable Use
You must not: (a) break the law; (b) infringe IP, privacy or other rights; (c) bypass security; (d) reverse engineer, resell or compete using our confidential information; (e) upload malware; or (f) overload, scrape or abuse our APIs. We may suspend or terminate for violations.
6. Your Content & Licence to Us
You retain ownership of data you submit (“Customer Content”). You grant us and our subprocessors a worldwide, non-exclusive licence to host, process, transmit, display and back up Customer Content only to provide/improve the Service, comply with law and prevent harm.
7. Third-Party Services (e.g. Stripe)
We integrate with third parties (e.g. Stripe for payments). Your use of those services is governed by their terms and privacy policies. We do not control their availability or performance.
8. Confidentiality & Security
Each party will protect the other’s non-public information and use it only for these Terms. We implement technical and organisational measures to protect the Service and Customer Content. See also our Privacy Policy.
9. Service Changes & Beta Features
We may enhance or modify features. Preview/beta features may be labelled as such, provided “as is” and may be withdrawn.
10. Suspension & Termination
We may suspend or terminate access if you breach these Terms, your use poses risk, or to comply with law. On termination your right to use the Service ends; we may retain or delete data per our retention policies and law.
11. Disclaimers
The Service is provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation, fitness for a particular purpose, non-infringement, or accuracy.
12. Indemnity
You will defend and indemnify us against claims arising from your unlawful use of the Service or violation of these Terms, including claims related to Customer Content.
13. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability for all claims is limited to the greater of £100 or amounts paid by you in the 12 months before the event. We are not liable for indirect, special, incidental, punitive or consequential losses, or loss of profits, revenues, data or business opportunities.
14. Governing Law & Disputes
These Terms are governed by the laws of England & Wales. Courts of London have exclusive jurisdiction. Mandatory consumer protections in your country still apply where required.
15. Changes to these Terms
We may update these Terms. We will post the new version with an updated “Last updated” date and, where appropriate, notify you in the Service. Continued use means acceptance.
